We provide services ranging from corporate secretaryship, representation, counseling and documentation for establishment and restructuring of business organizations to corporate mergers, acquisitions, divestments, restructuring, dissolution and liquidation.  We also handle annual legal audits and due diligence audits to determine compliance with legal and regulatory requirements.

 

We are likewise in commercial law practice such as the sale and acquisition of assets or businesses, including companies, the formation and dissolution of partnerships and joint ventures as well as single proprietorships.  We provide assistance and advice in corporate finance, in the areas of banking, investments and fund management, including loan syndications and underwriting of securities by banks and investment houses. We have handled the legal documentation requirements of a private joint venture company and have assisted it in negotiating for and obtaining a major government infrastructure project. We have provided assistance to another corporation with a public utility franchise in respect of its operations and dealings with government regulatory agencies.  We have provided assistance to a joint venture in obtaining its legislative franchise for the operation of a public utility. We are likewise counsel to the SEC-appointed Liquidator in three (3) pending liquidation cases involving a steel corporation, an appliance manufacturer and a sports apparel manufacturer.  A partner of the Firm is a court-appointed rehabilitation receiver of a semiconductor company.
